Chatter Technology

These are Chatter's official Terms of Use and apply to your access to and use of the platform, including event ticketing, business subscriptions, promotional services, and community features.

1. Introduction

Welcome to Chatter. These Terms of Use govern your access to and use of the Chatter platform, including our website, mobile applications, and related services. By accessing or using Chatter, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Definitions

  • "Chatter" refers to Chatter Technology, the operator of the platform.
  • "User" refers to any individual using the platform.
  • "Organizer" refers to users who create and manage events.
  • "Business" refers to users utilizing subscription tools, storefronts, or promotional services.
  • "Attendee" refers to users purchasing tickets or participating in events.
  • "Content" includes posts, videos, comments, event data, and other user-generated material.

3. Nature of the Platform

Chatter is a multi-sided platform that provides:

  • Event creation and ticketing services.
  • Community interaction through Chatter features, including the Echo system.
  • Business tools such as analytics, CRM, and storefront capabilities.
  • Discovery and promotional services.

Chatter acts as an intermediary technology platform and does not organize, host, manage, or control events.

4. Eligibility

To use Chatter, you must:

  • Be at least 14 years old, or the minimum age required by law in your jurisdiction if higher.
  • Have the legal capacity to enter into binding agreements where such capacity is required for the services you use.

By using Chatter, you confirm that you meet these requirements.

5. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information.
  • You are responsible for activity carried out under your account.
  • Chatter may suspend or terminate accounts that violate these Terms or threaten the platform or other users.

6. Event Ticketing Terms

6.1 Organizer Responsibility

  • Event creation and the accuracy of event information.
  • Event execution and delivery.
  • Refund policies and attendee support.

6.2 Ticket Purchases

  • All ticket purchases are subject to the organizer's refund policy and the Chatter Refund, Cancellation & Dispute Policy.
  • Prices, availability, and conditions are determined by the organizer.
  • Payment processing is handled through third-party providers.

6.3 Platform Fees

Chatter may charge platform fees or optional promotional or service fees, and all applicable fees are disclosed before purchase.

6.4 No Guarantee of Event Quality

  • Chatter does not guarantee event quality.
  • Chatter does not guarantee the accuracy of event information supplied by organizers.
  • Chatter does not guarantee organizer performance or event outcomes.

7. Subscriptions and Business Services

7.1 Subscription Services

  • Analytics and reporting tools.
  • Audience insights.
  • Customer engagement features.
  • Business and storefront capabilities.

7.2 Billing

Subscriptions are billed on a recurring basis, and applicable fees are displayed before purchase or renewal.

7.3 Cancellation

Subscriptions may be cancelled at any time, and cancellation takes effect at the end of the then-current billing cycle unless stated otherwise.

7.4 No Guaranteed Outcomes

  • Chatter does not guarantee revenue increases.
  • Chatter does not guarantee customer acquisition.
  • Chatter does not guarantee business performance or specific commercial results.

8. Advertising and Promotion

Chatter may offer promotional services such as event boosts, featured placements, and sponsored listings.

8.1 Performance Disclaimer

  • Chatter does not guarantee visibility levels.
  • Chatter does not guarantee engagement rates.
  • Chatter does not guarantee ticket sales or campaign outcomes.

8.2 Payment Terms

Promotional services are generally paid in advance, and fees are non-refundable once a campaign begins except in cases of billing error, fraud, or platform delivery failure.

9. Echo System and User-Generated Content

9.1 Content Ownership

Users retain ownership of the content they create. By posting content on Chatter, you grant Chatter a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content for platform operation, safety, promotion, and improvement.

9.2 Acceptable Use

You agree not to post:

  • Illegal or harmful content.
  • Fraudulent, deceptive, or misleading information.
  • Content that infringes intellectual property or other rights.
  • Offensive, abusive, exploitative, or harmful material.

9.3 Moderation

  • Chatter may remove content.
  • Chatter may suspend accounts.
  • Chatter may restrict access where necessary to enforce these Terms or protect the platform.

10. Data and Analytics

Chatter collects and processes data related to transactions, user behavior, and content interactions.

10.1 Use of Data

  • Improve platform functionality.
  • Provide insights to businesses and organizers.
  • Enhance recommendations, discovery, and safety systems.

10.2 Aggregated Data

Chatter may use anonymized or aggregated data for analytics, benchmarking, reporting, and product improvement.

11. Payments

Payments are processed through third-party providers such as Paystack. Chatter does not directly store or process payment card details except to the extent handled by compliant payment providers or as otherwise required for transaction support.

12. Refunds and Disputes

Refunds, cancellations, and disputes are governed by the Refund, Cancellation & Dispute Policy.

13. Fraud and Security

  • Chatter may investigate suspicious transactions or account activity.
  • Chatter may suspend accounts involved in fraud, abuse, or other harmful conduct.
  • Chatter may share relevant transaction or account data with payment providers, banks, or authorities where reasonably necessary.

14. Limitation of Liability

To the maximum extent permitted by law, Chatter is not liable for:

  • Event cancellations, postponements, venue changes, or organizer failures.
  • Loss of profits, revenue, business opportunities, goodwill, or anticipated savings.
  • Indirect, incidental, special, punitive, or consequential damages.

15. Indemnification

You agree to indemnify and hold Chatter, its affiliates, officers, employees, and partners harmless from claims, liabilities, damages, losses, and expenses arising out of your use of the platform, your content, or your violation of these Terms or applicable law.

16. Termination

Chatter may suspend or terminate access to the platform for violation of these Terms, fraudulent or abusive behavior, or where reasonably necessary to protect the platform, users, or third parties.

17. Intellectual Property

All platform content, software, branding, and materials other than user-generated content are owned by or licensed to Chatter. You may not copy, modify, reproduce, distribute, or create derivative works from such materials without prior written permission, except as allowed by law.

18. Changes to Terms

Chatter may update these Terms at any time. Continued use of the platform after an update becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.

19. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.
